Agreement & eligibility

Who can sell on CheckoutFirst and what you agree to.

Sections 1 – 4

By creating a listing, you agree to be bound by this agreement.

IMPORTANT: By checking the acceptance box and creating a listing, you acknowledge that you have read, understood, and agree to be bound by this Seller Agreement, including the binding arbitration provision and class action waiver in Section 15.

1. Agreement to terms

This Seller Agreement is between you and MYCCA Inc, operator of CheckoutFirst. By creating a listing on the platform, you agree to be bound by this agreement.

2. Eligibility

To use the platform as a seller, you must:

  • Be at least 18 years old or the age of legal majority in your jurisdiction.
  • Have the legal capacity to enter into binding contracts.
  • Not be prohibited from using the platform under applicable laws.
  • Provide accurate, current, and complete registration information.

If you use the platform on behalf of a business entity, you represent that you have authority to bind that entity to this agreement.

3. Account registration & security

  • You are responsible for maintaining the confidentiality of your credentials.
  • You must immediately notify CheckoutFirst of unauthorized access.
  • You may not share, transfer, or sell your account.
  • You are solely responsible for activity that occurs under your account.
  • CheckoutFirst may suspend or terminate accounts that violate this agreement.

4. Platform services

CheckoutFirst provides a technology platform that enables sellers to create checkout pages for products and services. It is a marketplace facilitator, not a party to transactions between sellers and buyers.

The platform is provided "as is" and "as available." CheckoutFirst does not guarantee continuous access, a particular level of sales, or that the platform will meet your specific requirements.

Fees & payments

Channel-based pricing with no upfront or recurring fees.

Section 5

You only pay when you make a sale.

Fees are channel-based and include Stripe processing.

5. Fees & payments

You pay a combined commission and processing fee only when a sale happens. There is no upfront or recurring listing fee. The rate depends on how the buyer found your listing.

Direct sale

Buyer came via your link, QR code, or seller profile page.

10% + $0.50Total cost per sale including Stripe processing fees.

Marketplace sale

Buyer discovered your listing via CheckoutFirst marketplace browse.

20% + $0.50Total cost per sale including Stripe processing fees.

Additional fee terms

  • Stripe's standard processing (2.9% + $0.30) is already included in both totals above.
  • No upfront listing fee. Fees apply only when a sale happens.
  • Pricing overrides, such as a 0% platform fee, may be approved for specific sellers without creating an ongoing entitlement.
  • Marketplace visibility may remain limited until your Stripe payout account is fully configured and able to accept charges.
  • Listings remain active until paused, sold out, removed, or otherwise ended under this agreement.
  • If CheckoutFirst changes its standard fee structure, the revised breakdown will be disclosed before it applies to future sales.

Seller responsibilities

Listing accuracy, fulfillment obligations, and legal compliance.

Section 6

As a seller, you represent, warrant, and agree that the following remain true.

Product listings

  • All listing information is accurate, complete, and not misleading.
  • You have all necessary rights to sell the listed products or services.
  • Your listings do not infringe any third-party intellectual property rights.
  • Images and descriptions accurately represent what buyers will receive.

Fulfillment

  • You will fulfill all orders promptly and as described.
  • You will maintain accurate inventory counts.
  • You will communicate with buyers regarding order status.
  • You will handle returns, refunds, and customer service for your offers.

Legal compliance

  • You will comply with all applicable local, state, federal, and international laws.
  • You are responsible for collecting and remitting applicable taxes.
  • You will obtain any required licenses, permits, or certifications.
  • You will comply with consumer protection laws where you sell.

Prohibited content & conduct

Items and behaviors not permitted on the platform.

Section 7

CheckoutFirst reserves the right to remove listings and terminate accounts without notice.

You may not list or sell

  • Illegal items or services in any applicable jurisdiction.
  • Counterfeit, stolen, or unauthorized goods.
  • Weapons, ammunition, explosives, or controlled substances.
  • Hazardous materials or items prohibited by Stripe's restricted businesses list.
  • Products that infringe intellectual property rights or promote hate or violence.
  • Financial instruments, cryptocurrency, or personal information and data.

You may not

  • Create multiple accounts to circumvent restrictions.
  • Manipulate reviews, ratings, or platform metrics.
  • Engage in fraudulent transactions or money laundering.
  • Interfere with the platform's operation or security.
  • Scrape, harvest, or collect user data.

Intellectual property & privacy

Content ownership, platform IP, and data handling obligations.

Sections 8 – 9

You retain ownership of your content. The platform is protected by IP law.

Your content

You retain ownership of content you upload. By uploading content, you grant MYCCA Inc a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that content solely for operating and promoting the platform.

Our property

The platform, including its design, features, and technology, is owned by MYCCA Inc and protected by intellectual property laws. You may not copy, modify, or create derivative works of the platform.

DMCA

CheckoutFirst responds to valid notices of alleged copyright infringement. To report infringement, contact support@checkoutfirst.com.

9. Privacy & data

Your use of the platform is subject to the Privacy Policy. As a seller, you will handle buyer personal information in compliance with applicable privacy laws, use it only for order fulfillment, and remain responsible for your own privacy practices.

Liability & warranties

Indemnification, liability limits, warranty disclaimers, and third-party services.

Sections 10 – 13

Platform liability is limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless MYCCA Inc and its affiliates from claims, damages, losses, liabilities, costs, and expenses arising out of your use of the platform, your listings, your violation of this agreement, or disputes between you and buyers.

11. Limitation of liability

To the maximum extent permitted by law:MYCCA Inc shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill.MYCCA Inc's total cumulative liability shall not exceed the total fees paid by you to MYCCA Inc in the twelve months preceding the claim.

Some jurisdictions do not allow exclusion or limitation of certain damages. In those jurisdictions, liability is limited to the maximum extent permitted by law.

12. Disclaimer of warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.MYCCA INC SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

MYCCA Inc does not warrant that:

  • The platform will be error-free or uninterrupted.
  • Defects will be corrected.
  • The platform is free of viruses or harmful components.
  • The results of using the platform will meet your requirements.

13. Third-party services

The platform integrates with third-party services, including Stripe for payment processing. Your use of those services is governed by their respective terms and policies. Your Stripe account is a direct relationship between you and Stripe.

Disputes & arbitration

Termination, dispute resolution, arbitration, and governing law.

Sections 14 – 16

This section affects your legal rights including your right to file a lawsuit in court.

14. Termination

By you: You may stop using the platform at any time. Published listings may remain active until you pause, remove, or otherwise end them.

By CheckoutFirst: CheckoutFirst may suspend or terminate your account for violations, fraud, legal requests, discontinuation of the platform, or other serious risk factors.

Effect of termination:

  • Your right to use the platform immediately ceases.
  • Listings may be removed or selling access disabled if continued availability would create legal, operational, or trust risk.
  • Sections 8–17 of this agreement survive termination.
  • You remain responsible for obligations incurred prior to termination.

15. Dispute resolution & arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal resolution

Before initiating arbitration, you agree to first contact support@checkoutfirst.com and attempt to resolve any dispute informally for at least 30 days.

Binding arbitration

If informal resolution fails, you and MYCCA Inc agree to resolve disputes through binding individual arbitration administered by JAMS under its streamlined rules.

Class action waiver

YOU AND MYCCA INC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Arbitration procedures

  • The arbitration will be conducted in English.
  • It will take place in San Francisco, California, or remotely via video conference.
  • The arbitrator's decision will be final and binding.
  • Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Exceptions & opt-out

Either party may bring claims in small claims court if eligible or seek injunctive relief for intellectual property infringement.

You may opt out by sending written notice to support@checkoutfirst.com within 30 days of first accepting this agreement.

16. Governing law & venue

This agreement is governed by the laws of the State of California, without regard to conflict-of-laws principles. For disputes not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California.

Entire agreement

This agreement constitutes the entire agreement between you and MYCCA Inc regarding your use of the platform as a seller and supersedes all prior agreements.

Severability

If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.

Waiver

Failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign this agreement without prior written consent. MYCCA Inc may assign this agreement at any time without notice.

Force majeure

MYCCA Inc shall not be liable for failures to perform caused by events beyond its reasonable control, including natural disasters, labor disputes, government actions, or telecommunications failures.

Modifications

CheckoutFirst may modify this agreement at any time and will notify you of material changes by email or prominent notice on the platform.
